DRIP HEALTHCARE TERMS AND CONDITIONS

1. DEFINITIONS
“Platform” means all Drip Healthcare technology, including digital signage systems, QR routing, redirect infrastructure, campaign systems, business directory, analytics, and Control Center.
“Provider” means any healthcare organization utilizing the Platform for content distribution.
“Client” means any vendor, advertiser, employer, or business submitting campaigns.
“User” means any individual interacting with the Platform, including patients, visitors, and providers.
“Campaign” means any advertisement, listing, QR destination, or promotional content delivered via the Platform.
2. NATURE OF THE PLATFORM
Drip Healthcare provides technology infrastructure only.
Drip Healthcare does not:
Provide medical care or clinical services
Offer medical advice, diagnosis, or treatment
Act as a healthcare provider
Act as a broker, referral service, or agent
Act as an advertising agency of record
3. NO MEDICAL ADVICE / NO PROVIDER RELATIONSHIP
Nothing on the Platform constitutes:
Medical advice
Diagnosis or treatment guidance
Use of the Platform does not create:
A provider–patient relationship
A clinical recommendation
A duty of care
Users must rely on independent professional judgment.
4. ADVERTISING NEUTRALITY & NO ENDORSEMENT
All Campaigns are third-party content
Display within a healthcare environment does not imply:
Endorsement
Recommendation
Clinical validation
Providers act solely as distribution venues.
5. INDEPENDENT PARTIES
Nothing in these Terms creates:
Partnership
Joint venture
Agency relationship
Between:
Drip Healthcare and Providers
Drip Healthcare and Clients
Providers and Clients
6. REGULATORY POSITIONING / ANTI-KICKBACK COMPLIANCE
The Platform is structured as a marketing and distribution system only.
All parties acknowledge:
Compensation is tied solely to advertising activity
Not tied to:
Patient referrals
Clinical decisions
Healthcare utilization
No party shall use the Platform to:
Induce referrals
Influence treatment decisions
Circumvent healthcare regulations
7. NO CLINICAL INFLUENCE
The Platform does not:
Influence medical decision-making
Alter treatment pathways
Recommend products or services
Providers must exercise independent clinical judgment at all times.
8. DATA PRIVACY & NO PHI
Drip Healthcare:
Does not collect, store, or process Protected Health Information (PHI)
Does not track identifiable patient data
All system activity (QR scans, clicks, redirects) is:
Anonymous
Operational only
This architecture is intended to operate outside HIPAA scope.
9. TRACKING, ANALYTICS, AND SYSTEM RECORDS
Drip Healthcare systems track:
QR code scans
Redirect activity
Campaign interactions
These logs:
Serve as the official record for analytics and billing
Are final and binding absent clear technical error
10. PROVIDER TERMS
10.1 Role of Provider
Provider acts solely as a content distribution venue and does not:
Endorse advertisers
Recommend services
Act as intermediary
10.2 Equipment & Infrastructure
Provider is responsible for:
Screens
Internet connectivity
10.3 Facility ID Disclaimer
Facility IDs:
Are not credentials
May be publicly accessible
Are used only for routing and system identification
10.4 Revenue Participation
May be based on verified engagement (e.g., clicks)
Not tied to patient care or outcomes
No revenue is guaranteed.
11. CLIENT (VENDOR / EMPLOYER) TERMS
11.1 Content Responsibility
Client is solely responsible for:
Accuracy of claims
Legal compliance
Regulatory adherence
11.2 Campaign Requirements
All campaign content and URLs must be:
Lawful
Non-deceptive
Technically functional
11.3 YouTube / Media Rights
Client represents:
Ownership or authorization
Permission for commercial display
12. BILLING & PAYMENT TERMS
12.1 Pricing Models
Campaigns may be priced under:
Cost-Per-Click (CPC)
Fixed fee
Hybrid models
12.2 Verified Clicks
Verified clicks include:
QR scans
Redirect clicks
Directory clicks
Drip Healthcare tracking systems are the authoritative source of record.
12.3 Invoicing
Billed monthly
Due upon receipt
12.4 No Performance Guarantees
No guarantees of:
Click volume
Conversions
ROI
12.5 No Refunds
No refunds based on performance outcomes.
12.6 Disputes
Must be submitted within 10 business days or are deemed accepted.
13. THIRD-PARTY CONTENT & EXTERNAL LINKS
Drip Healthcare is not responsible for:
Advertiser claims
External websites
Third-party interactions
Users interact with third-party content at their own risk.
14. DISCLAIMERS
The Platform is provided “as is” and “as available.”
Drip Healthcare makes no warranties regarding:
Availability
Accuracy
Performance
Fitness for purpose
15. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Drip Healthcare shall not be liable for:
Indirect or consequential damages
Lost profits or revenue
Business interruption
Third-party conduct
Total liability shall not exceed:
Amounts paid to Drip Healthcare in the prior 12 months
16. INDEMNIFICATION
Providers and Clients agree to indemnify and hold harmless Drip Healthcare from claims arising from:
Submitted content
Advertising materials
Regulatory violations
Intellectual property disputes
Third-party interactions
17. PLATFORM CONTROL & MODIFICATIONS
Drip Healthcare may modify at any time:
Platform functionality
Pricing
Distribution logic
Campaign systems
Without prior notice.
18. SUSPENSION & TERMINATION
Drip Healthcare may suspend or terminate access for:
Violations of these Terms
Legal or reputational risk
Non-payment
System misuse
19. INTELLECTUAL PROPERTY
All Platform systems, technology, and infrastructure are owned by Drip Healthcare.
Users may not:
Reverse engineer
Copy
Replicate
Build competing systems
20. GOVERNING LAW
These Terms shall be governed by the laws of:
State of North Carolina
