Terms and Conditions for Healthcare Provider Organizations

Effective Date: March 3, 2026

Welcome to Drip Healthcare. By accessing, registering for, or using Drip Healthcare’s services, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully.

1. Services Provided

Drip Healthcare provides a distribution and content platform designed for healthcare provider organizations, including but not limited to clinics, hospitals, urgent care centers, specialty practices, and outpatient facilities.

Services may include:

  • Digital signage content distribution

  • Display of curated educational videos, public information, news, weather, and other informational content

  • Display of advertisements from approved or self-submitted business partners

  • QR code generation and campaign tracking

  • Campaign rotation and display analytics

  • Business directory integration

  • YouTube channel integration for video-based content

  • Content scheduling and campaign management tools

Drip Healthcare’s goal is to enhance patient experience, support community engagement, and create sustainable revenue-sharing opportunities for medical venues.

2. Eligibility

To use Drip Healthcare services, you must:

  • Be at least 18 years old

  • Represent a legitimate healthcare provider business or healthcare organization

  • Have authority to enter into agreements on behalf of the healthcare organization

  • Provide accurate and complete registration information

You are responsible for maintaining the confidentiality of login credentials and for all activity conducted under your account.

3. Content Control and Responsibility

Healthcare provider organizations maintain control over:

  • Which ad campaigns are displayed

  • Whether their directory listings are clickable

  • Whether YouTube content is submitted

  • Which categories of advertisements appear

Drip Healthcare reserves the right to remove, suspend, or refuse to display any content that:

  • Violates applicable law

  • Is misleading, deceptive, or unsafe

  • Infringes on intellectual property rights

  • Is deemed inappropriate for a healthcare setting

  • Poses reputational, regulatory, or safety risk

Healthcare provider organizations are solely responsible for ensuring submitted content is lawful and appropriate.

4. YouTube Channel Submission & Commercial Display Authorization

If you submit a YouTube channel, playlist, or video link to Drip Healthcare, you agree to the following:

  1. Commercial Display Authorization
    You grant Drip Healthcare permission to display videos from your submitted YouTube channel in commercial environments, including but not limited to waiting rooms, clinics, hospitals, and other healthcare facilities.

  2. Authority Representation
    You represent and warrant that:

    • You have full legal authority to submit the YouTube channel.

    • You are the owner of the channel OR are officially affiliated with and authorized by the channel owner.

    • The channel represents your business or organization.

  3. Content Safety Assurance
    You confirm that:

    • The channel content is appropriate for public display in healthcare environments.

    • The content does not contain unlawful, infringing, harmful, explicit, or misleading material.

    • The channel complies with YouTube’s Terms of Service and applicable laws.

  4. Ongoing Responsibility
    You are responsible for monitoring your channel content. If content becomes inappropriate, you must notify Drip Healthcare immediately.

Drip Healthcare reserves the right to disable or remove any YouTube-integrated content at its discretion.

5. Business Campaigns & Advertising

Healthcare provider organizations may choose to:

  • Display advertisements from selected business partners

  • Participate in revenue-sharing arrangements

  • Allow businesses to run directory campaigns with clickable URLs

Unless explicitly stated in a separate written agreement:

  • Drip Healthcare does not guarantee advertising performance.

  • Drip Healthcare does not endorse the products or services of advertisers.

  • All communications between patients and businesses occur independently of Drip Healthcare.

Businesses submitting campaign URLs represent that:

  • They own or have legal rights to the submitted URL.

  • The landing page is lawful and safe.

  • The content is appropriate for healthcare audiences.

Drip Healthcare may perform automated URL safety checks and reserves the right to remove unsafe links.

6. QR Codes, Tracking & Analytics

Drip Healthcare may generate:

  • QR codes per campaign

  • Campaign display counts

  • QR scan tracking logs

  • Click analytics

These analytics are used for campaign reporting and operational purposes.

Drip Healthcare does not collect protected health information (PHI) through its signage or QR systems.

7. No Collection of Patient Health Information

Drip Healthcare’s digital signage system is designed for passive viewing.

  • We do not collect medical records.

  • We do not collect protected health information (PHI).

  • We do not provide diagnosis or medical advice.

  • We do not require patient logins to view displayed content.

If a patient independently engages with a third-party website via QR code, that interaction is governed solely by that third party’s privacy policies.

8. Equipment & Technical Requirements

To use Drip Healthcare services, healthcare provider organizations must have:

  • A compatible TV or display

  • Internet connectivity

Drip Healthcare does not provide hardware or internet services unless otherwise agreed in writing.

9. Fees & Payment

9.1 Platform Subscription Fees

Unless otherwise agreed in writing, participation in the Drip Healthcare content distribution network is billed as:

  • $250 per month, or

  • $3,000 annually (prepaid)

Subscription fees cover:

  • Access to the Drip Healthcare digital signage system

  • Campaign rotation management

  • QR code generation

  • Content integration (including YouTube, if applicable)

  • Display analytics and tracking

  • Business directory inclusion

Subscription fees are due upon invoice and may be subject to change with advance notice.

9.2 Per-Campaign Revenue Participation (If Applicable)

If the Medical Venue elects to participate in advertising revenue programs, compensation may be structured on a per-campaign basis, including:

  • Cost-Per-Click (CPC) revenue share model, where the venue receives a portion of revenue generated per verified click, or

  • Other agreed revenue-sharing models as outlined in a separate written agreement.

If a CPC model is used:

  • Campaigns may be priced at $X per verified click to business partners.

  • Drip Healthcare may share a percentage of collected click revenue with the Medical Venue.

  • “Verified clicks” include QR code scans, redirect clicks, or directory clicks tracked through Drip Healthcare systems.

Drip Healthcare’s internal tracking logs shall serve as the official source of record for revenue calculations.

Revenue share arrangements, if any, will be defined in a separate written addendum.

9.3 Monthly Invoicing & Payment

Subscription fees and any additional charges will be invoiced:

  • Monthly (unless annual prepayment is selected)

  • Due upon receipt

Failure to remit payment may result in:

  • Suspension of campaign rotation

  • Removal of clickable directory features

  • Temporary suspension of platform access

9.4 No Guarantee of Advertising Revenue

Medical Venue acknowledges that:

  • Advertising participation is optional.

  • Revenue is not guaranteed.

  • Click volume and engagement may vary.

  • Patient traffic and display frequency impact results.

Drip Healthcare does not guarantee a minimum advertising revenue unless separately agreed in writing.

9.5 Adjustments & Program Changes

Drip Healthcare reserves the right to modify:

  • Subscription pricing

  • Revenue share percentages

  • Campaign participation structures

with reasonable advance notice.

10. Intellectual Property

All Drip Healthcare software, systems, branding, designs, workflows, and underlying platform architecture remain the exclusive property of Drip Healthcare.

You may not:

  • Reverse engineer the platform

  • Replicate distribution systems

  • Copy proprietary workflows

  • Create derivative systems based on Drip Healthcare’s technology

You retain ownership of your own submitted content.

11. Disclaimers

Services are provided “as is” and “as available.”

Drip Healthcare does not guarantee:

  • Continuous uptime

  • Error-free operation

  • Specific advertising results

  • Specific patient engagement outcomes

We are not responsible for:

  • Third-party content

  • Business partner conduct

  • YouTube policy changes

  • Internet outages

  • ScreenCloud outages

12. Limitation of Liability

To the maximum extent permitted by law:

Drip Healthcare shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from use of the platform.

Total liability shall not exceed the amount paid by the venue in the preceding 12 months.

13. Indemnification

You agree to indemnify and hold harmless Drip Healthcare from any claims arising from:

  • Submitted content

  • YouTube channel content

  • Business campaign URLs

  • Intellectual property disputes

  • Regulatory violations related to your submissions

14. Termination

Drip Healthcare may suspend or terminate service if:

  • Terms are violated

  • Submitted content is unlawful

  • Fees are unpaid

  • Conduct harms the platform or other participants

You may terminate service at any time in writing. No refunds are provided for partial billing cycles unless agreed in writing.

15. Modifications

Drip Healthcare may update these Terms periodically. Continued use of services constitutes acceptance of updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.
