Drip Healthcare Video Campaign Terms and Conditions

1. Incorporation of Platform Terms

These Video Campaign Terms and Conditions (“Video Campaign Terms”) are governed by and incorporate the Drip Healthcare Platform Terms of Service (“Platform Terms”).

In the event of any conflict, the Platform Terms shall control.

2. Definitions

  • “Video Campaign” means any video-based promotional content submitted to Drip Healthcare for distribution via digital signage, QR routing, or platform interfaces.

  • “Client” means any vendor, employer, or organization submitting a Video Campaign.

  • “Platform” means Drip Healthcare’s technology infrastructure, including digital displays and the Control Center.

3. Nature of Video Campaigns

Video Campaigns are:

  • Promotional or informational content

  • Distributed via Drip Healthcare’s digital signage and platform systems

Video Campaigns are not:

  • Medical advice

  • Clinical recommendations

  • Endorsed healthcare content

4. YouTube and Third-Party Hosting

Video Campaigns may rely on third-party hosting platforms, including but not limited to YouTube.

Client acknowledges:

  • Drip Healthcare does not host or control video content

  • All videos are delivered via third-party platforms

  • Availability of content depends on the third-party platform

Drip Healthcare is not responsible for:

  • Video removal or restriction by third-party platforms

  • Playback errors or availability issues

  • Changes to third-party content or policies

5. No Endorsement by Healthcare Providers

Client acknowledges:

  • Display of Video Campaigns in healthcare environments does not constitute endorsement

  • Providers, physicians, and staff do not recommend or approve Video Campaign content

  • Placement within a medical setting does not imply clinical relevance

Client agrees not to represent otherwise.

6. No Medical or Clinical Influence

Video Campaigns:

  • Do not influence clinical decisions

  • Do not form part of patient care

  • Must not be presented as medical guidance

Providers retain full independent medical judgment.

7. No Referral or Inducement

Client agrees:

  • Video Campaigns are advertising only

  • Campaigns are not designed to induce or reward patient referrals

  • Compensation related to campaigns is not tied to:

    • Patient volume

    • Clinical services

    • Healthcare utilization

8. Content Responsibility

Client is solely responsible for:

  • Accuracy of all claims

  • Compliance with applicable laws and regulations

  • Ownership or rights to all submitted content

Client represents that:

  • They have full rights to use and distribute the video

  • The content does not infringe on any third-party rights

  • The content complies with advertising and healthcare regulations

9. Content Standards and Restrictions

Video Campaigns must not:

  • Contain misleading or deceptive claims

  • Present unverified medical claims

  • Promote illegal or restricted products or services

  • Violate healthcare advertising regulations

Drip Healthcare reserves the right to:

  • Reject, remove, or disable any Video Campaign

  • Suspend campaigns that pose legal, reputational, or technical risks

10. Campaign Operation and Delivery

Video Campaigns may be:

  • Rotated across multiple locations

  • Displayed intermittently

  • Subject to availability and system logic

Drip Healthcare does not guarantee:

  • Continuous display

  • Specific placement

  • Minimum impressions or engagement

11. Campaign Duration and Budget

Campaigns may include:

  • Budget limits

  • End dates

Campaign delivery may stop when:

  • Budget is reached

  • Campaign expires

  • Content is removed or blocked

12. Tracking and Reporting

Drip Healthcare uses internal systems to track:

  • Video interactions

  • Redirect activity

  • Engagement metrics

Client agrees:

  • These system records serve as the official source of truth

  • Metrics may include QR scans, clicks, and related engagement events

13. No Guarantee of Performance

Drip Healthcare does not guarantee:

  • Views or engagement

  • Click-through rates

  • Conversion outcomes

All Video Campaigns are provided on an “as is” and “as available” basis.

14. Limitation of Liability

To the maximum extent permitted by law, Drip Healthcare shall not be liable for:

  • Indirect or consequential damages

  • Loss of revenue or business

  • Third-party platform failures

All liability is subject to the limitations set forth in the Platform Terms.

15. Indemnification

Client agrees to indemnify and hold harmless:

  • Drip Healthcare

  • Participating healthcare providers

from any claims arising out of:

  • Video content

  • Advertising claims

  • Regulatory violations

  • Intellectual property disputes

16. Termination

Drip Healthcare may:

  • Suspend or terminate campaigns at any time

  • Remove content that violates these Terms

Client may discontinue campaigns at any time.

17. Acceptance

Client agrees to these Video Campaign Terms by:

  • Submitting a Video Campaign through the Platform, or

  • Accepting these Terms electronically

Electronic acceptance shall have the same force and effect as a signed agreement.

Drip Healthcare Platform Terms of Service

  • Platform: Drip Healthcare’s technology infrastructure, including digital signage, QR routing, campaign systems, directory systems, and Control Center.

  • Provider: Healthcare organizations using the Platform.

  • Client: Vendors, advertisers, or employers submitting campaigns.

  • User: Any individual interacting with the Platform (patients, visitors, providers).

  • Campaign: Any advertisement, listing, or promotional content.

2. Nature of the Platform

Drip Healthcare provides technology infrastructure only.

Drip Healthcare does not:

  • Provide medical care

  • Offer medical advice

  • Act as a healthcare provider

  • Act as a broker or referral service

  • Act as an advertising agency of record

3. No Medical Advice

Nothing on the Platform constitutes:

  • Medical advice

  • Diagnosis

  • Treatment guidance

No provider-patient relationship is created.

4. Advertising Neutrality & No Endorsement

  • Campaigns are third-party content

  • Display does not equal endorsement

  • Placement in healthcare settings does not imply recommendation

5. Independent Parties

No relationship created between:

  • Drip and Providers

  • Drip and Clients

  • Providers and Clients

6. Anti-Kickback & Compliance Positioning

  • Platform is not intended to induce referrals

  • Compensation is tied to marketing activity only

  • Not tied to:

    • Patient referrals

    • Clinical decisions

    • Healthcare utilization

7. Revenue Model Clarification

All payments:

  • Are for advertising exposure

  • Not contingent on medical outcomes or referrals

8. No Clinical Influence

Platform does not influence:

  • Medical decisions

  • Treatment pathways

9. Third-Party Content

Drip is not responsible for:

  • Advertiser claims

  • External websites

10. No PHI

Platform does not collect or store PHI.

11. Tracking Systems

Drip systems (QR, redirects, clicks) are:

  • Operational tools

  • Official record for analytics and billing

12. No Guarantees

No guarantees of:

  • Performance

  • Revenue

  • Uptime

13. Limitation of Liability

To the maximum extent permitted by law:

Drip Healthcare shall not be liable for:

  • Indirect or consequential damages

  • Lost profits or revenue

  • Business interruption

  • Third-party actions

Total liability shall not exceed amounts paid to Drip Healthcare in the prior 12 months.

14. Indemnification

Users agree to indemnify and hold harmless Drip Healthcare from any claims arising from:

  • Submitted content

  • Advertising materials

  • Regulatory violations

  • Intellectual property disputes

  • Third-party interactions

15. Platform Modifications

Drip Healthcare may modify:

  • Platform functionality

  • Pricing structures

  • Distribution methods

  • Technical systems

at any time without prior notice.

16. Suspension and Termination

Drip Healthcare may suspend or terminate access if:

  • Terms are violated

  • Content poses legal or reputational risk

  • Payments are not made

  • System misuse occurs

17. Intellectual Property

All Platform technology, systems, and infrastructure are owned by Drip Healthcare.

Users may not:

  • Reverse engineer

  • Replicate

  • Copy or derive competing systems
